Professional women's network

The Private Capital Advisory team is part of the M&A platform, assisting clients in minority equity and structured partnership transaction with a range of private capital investors.

This is an exciting opportunity for someone who is highly motivated to design and lead deals in the private M&A market and to contribute to our Investment Banking business.

The M&A Private Capital Advisory team is part of J.P. Morgan's global M&A platform, assisting clients in bringing in private capital partners for a variety of purposes including: M&A, growth/capex, shareholder monetisations, balance sheet equitizations, refinancings etc. The transactions span from minority common equity and JVs, to preferred equity and more credit-like structures. Transactions are across the risk-return spectrum, from private market equity for large IG corporates, capital for sponsor or family owned companies to capital solutions addressing special situations.

The team typically develops the transaction design and structure, manages the process and assists in negotiations, all with the goal to deliver the best possible solution meeting client objectives, to identify the best possible capital partner and to obtain best possible valuation and terms. Target investor partners span across the private market, from non-control mandates within private equity funds, infrastructure funds, sovereign wealth funds, alternative & credit investors, pension funds & insurance companies, family offices, and other institutional investors.

The team has raised more than $70bn of capital for clients in the last 4 years in over 30 transactions across EMEA. This includes the largest private capital transaction in EMEA in 5 out of the last 6 years.

Established over 20 years ago, the team is poised for continued growth as private capital is becoming only more relevant to companies globally and through the cycle.

Job responsibilities:

  • Design, structure and lead M&A private capital transactions, including assessing based on financial models the risk profile and how it may be optimised
  • Take responsibility for specific transaction types within M&A Private Capital Advisory
  • Develop and deepen relationships with key issuer and investor clients
  • Work closely with partners in industry, country and product partners
  • Provide leadership, mentorship and supervision to relevant team members

Required qualifications, capabilities and skills

  • Relevant Investment Banking experience (M&A, Project Finance, Rating Advisory or Leveraged Finance) or buyside experience
  • Ability to understand complex models, translate economics into termsheets, and structure transactions to optimise client objectives including financeability where applicable
  • Ability to comfortably interact with senior clients in a skilled manner
  • Ability to work independently and to take initiatives
  • Strong quantitative and analytical skills
  • Strong communication skills
  • Desire to be a market leader in advising clients on M&A private capital transactions

This role encompasses the performance of regulated activity. The successful candidate will therefore be subject to meeting regulatory requirements in the assessment of fitness, propriety, knowledge and competence (as assessed by the Firm) and (where appropriate) approval by the relevant regulatory authorities to carry out such activities.
