The Board Management team provides a full support service for a number of open-ended Luxembourg and Irish domiciled funds all of which are managed by JPMorgan Asset Management (Europe) Sarl (“JPMAME”); and further provides company secretarial support to the Management Committee of JPMorgan Funds Limited (“JPMFL ManCom”), the London based Management Company for JPMorgan Asset Management’s open-ended UK funds.
Your primary function will be to support the team in the provision of company secretarial and governance support to the boards (comprising majority of independent directors) of Luxembourg and Irish domiciled open-ended funds all managed by JPMAME, including:
- Five SICAV umbrellas with combined assets under management of approx. USD380 billion
- Other smaller vehicles, a Luxembourg domiciled ELTIF umbrella, and an Irish ETF umbrella
- The JPMFL ManCom
Job Responsibilities:
- Attend board/committee meetings and provide comprehensive company secretarial, governance and administrative support and guidance for the boards/committees of the funds you will be responsible for
- Ensure that the funds comply with all relevant local statutory and regulatory requirements.
- Assist in the implementation of corporate strategies by ensuring that the boards’ and committees’ decisions and instructions are properly carried out and communicated
- Work with other teams across the business in developing new products or amend existing ones, ensuring that any necessary shareholder notifications have the appropriate content and form.
- Manage the board and committee paper production process effectively, ensuring that papers are sent to the boards and committees in a timely manner
- Organise and maintain the agenda plan for the year and organise board and committee meetings at least a year in advance
- Work with other team members to ensure that all action items from board and committee meetings are carried out effectively
Required qualifications, capabilities, and skills
- Client focused- Essential to have a client centric mindset with a commitment to integrity, fairness and responsibility
- Previous employers and roles – Essential to have experience in a company secretarial role, preferably within an asset management environment. Must have sound company secretarial knowledge including minute taking and the ability to liaise with directors at a high level with a knowledge of UCITS and non UCITS fund structures
- Relationship management – Essential to have the ability to develop partnerships with Board Directors and key business partners, including product development, operations, investment desks, compliance, risk, tax, and internal and external legal counsel
- Project management – Experience of managing a number of projects and managing to tight deadlines with a proven track record of managing projects within a large, highly complex, cross-functional environment
- Communication, influencing and interpersonal skills – Must have excellent written and verbal communication skills with an ability to articulate complex ideas, concepts, and solutions at a level appropriate to the recipient.
- Document management – Must have a keen attention to detail with excellent organizational skills which can be competently utilised to manage a large agenda.
- Qualifications – Fully qualified company secretary or working towards full qualification or another appropriate legal / accounting qualification
